Terms & Conditions

By accessing, browsing, registering for, or otherwise using the RobotifyX platform, including all associated services, applications, APIs, and marketplace functionalities (collectively, the “Services”), you hereby acknowledge, represent, and agree that you have read, understood, and agree to be legally bound by these Terms & Conditions (the “Terms”).

If you are entering into these Terms on behalf of a corporation, entity, or organization, you represent and warrant that you possess full legal authority to bind such entity, in which case “you” shall refer to such entity.

RobotifyX reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time, with such modifications becoming effective immediately. Continued use of the Services constitutes acceptance of any such revisions.

• You represent and warrant that:
• You are of legal age and capacity to form a binding contract
• All information provided is accurate, complete, and continuously maintained
• You shall not impersonate any person or entity or misrepresent affiliation
• You are solely responsible for:
• Maintaining the confidentiality of account credentials
• All activities conducted under your account
• Ensuring compliance with applicable laws, including export controls and robotics regulations

RobotifyX reserves the right to suspend, restrict, or terminate accounts for violations, suspicious activity, or risk to marketplace integrity.

RobotifyX operates exclusively as a technology platform and intermediary infrastructure facilitating interactions between independent buyers, sellers, and developers.

Accordingly:

• RobotifyX does not manufacture, own, store, or take title to any robots
• RobotifyX is not a party to transactions between buyers and sellers
• Listings are created and controlled by third-party sellers

Sellers are solely responsible for:

• Accuracy and completeness of listings
• Operational capability, safety, and legality of robots
• Fulfillment, logistics, deployment, and maintenance

RobotifyX expressly disclaims any responsibility for:

• Product defects
• Seller misrepresentations
• Operational failures of robotics systems

RobotifyX endeavors, to the best of its abilities, to assess the integrity and quality of sellers on its platform. Sellers found breaking this policy may face consequences, including account suspension or removal.

The platform may enable access to third-party software, APIs, SDKs, and integrations (“Integrations”).

You acknowledge that:

• Integrations are provided “as is” and “as available”
• RobotifyX does not guarantee compatibility, uptime, or performance
• Use of integrations is at your sole risk

RobotifyX shall not be liable for:

• Software malfunctions
• Data loss or corruption
• Interoperability failures

5.1 Escrow-Based Payment System

To enhance trust, security, and transactional integrity, RobotifyX utilizes an escrow-based payment system:

• Upon purchase, 100% of the transaction amount is held in escrow

5.2 Delivery-Based Release Structure

• Upon confirmed delivery of the robot:
• 50% of the purchase price is released to the seller
• The remaining 50% is held for a period of five (5) days

5.3 Post-Delivery Verification

• During the 5-day period:
• The buyer may inspect, test, and validate the robot
• The seller ensures the robot performs as described and helps answer any questions the buyer has.
• After this period:
• If the seller confirms successful operation via their dashboard,
• → the remaining 50% is released to the seller

5.4 Disputes During Escrow

• If a dispute arises:
• Funds may be temporarily withheld
• RobotifyX may, at its sole discretion, review evidence and mediate
• Decisions may include refunds, technical review, and dispute resolution between buyers and sellers.

RobotifyX does not guarantee dispute outcomes but takes reasonable measures to ensure fairness and integrity in all transactions.

RobotifyX implements extensive marketplace safeguards, including but not limited to:

• Identity and account verification mechanisms
• Fraud detection systems and transaction monitoring
• Escrow-based payments (as described above)
• Seller performance tracking and potential enforcement actions
• Platform-level intervention in suspicious or high-risk transactions

Notwithstanding the foregoing, RobotifyX does not guarantee:

• The accuracy of listings
• The performance or condition of robots
• The conduct of marketplace participants

Robotics systems may involve:

• Physical installation
• Environmental interaction
• Mechanical and software dependencies

You acknowledge and agree that:

• Deployment is undertaken at your own risk
• You are responsible for compliance with all applicable laws, safety standards, and regulatory requirements
• RobotifyX is not responsible for damages arising from deployment or usage

Due to the specialized nature of robotics:

• Return policies may vary by seller
• Refund eligibility is not guaranteed

RobotifyX may, but is not obligated to:

• Facilitate communication between parties
• Mediate disputes
• Temporarily hold funds during investigation

All final determinations are made at RobotifyX’s sole discretion.

• You agree not to:
• Engage in fraudulent, deceptive, or misleading conduct
• Use robots for unlawful, harmful, or unsafe purposes
• Attempt to breach or circumvent platform security
• Interfere with platform operations or other users

Violation may result in immediate suspension or termination.

Robots listed on the platform may interact with real-world environments.

RobotifyX:

• Makes no warranties regarding safety or reliability
• Does not supervise robot operation
• Is not responsible for injuries, damages, or losses

You assume full responsibility for safe usage.

• RobotifyX retains all rights to its platform, technology, and branding
• Sellers retain ownership of their robots and listings
• Developers retain ownership of software and integrations
• You grant RobotifyX a non-exclusive license to display and distribute your content within the platform.

To the fullest extent permitted by law:

• RobotifyX shall not be liable for:
• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from robot malfunction, seller conduct, or integrations
• Total liability shall not exceed the amount paid to RobotifyX in connection with the relevant transaction.

You agree to indemnify and hold harmless RobotifyX from any claims, damages, liabilities, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your interactions with other users

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
